Silvercorp's corporate governance practices have been and continue to be in compliance with applicable Canadian and U.S. requirements. The Corporation continues to monitor developments in Canada and the U.S. with a view to further revising its governance policies and practices, as appropriate.

Corporate Disclosure Policy

The objective of Silvercorp's disclosure policy is to ensure that all communications made by the Company to the investing public about Silvercorp Metals Inc. and its subsidiaries are (i) timely, factual and accurate; and (ii) broadly disseminated in accordance with all applicable legal and regulatory requirements. The policy extends to all employees of the Corporation, their respective boards of directors and officers, and those authorized to speak on their behalf.

Audit Committee Charter

The main objective of the Audit Committee is to act as a liaison between the Board and the Company's independent auditors and to assist the Board in fulfilling its oversight responsibilities with respect to the financial statements and other financial information provided by the Company to its shareholders, the public and others; the Company's compliance with legal and regulatory requirements; the qualification, independence and performance of the Auditors; and the Company's risk management and internal financial and accounting controls, and management information systems.

Compensation Committee Charter

The purpose of the Compensation Committee is to assist the Board in discharging its duties relating to compensation of the executive officers of the Company, the goals are to enable the Company to attract, retain and motivate the most qualified talent who will contribute to the long term success of the Company by aligning compensation with the Company's business objectives and performance, and aligning incentives with the interests of shareholders to maximize shareholders' value.

This Code of Ethical Conduct for Financial Managers applies to all Financial Managers of Silvercorp Metals Inc. Financial Managers are the Company's principal executive officer, principal financial officer, principal accounting officer, controller or person performing similar functions. This code is a general guideline for Financial Managers to adhere to and advocate to the best of their knowledge and ability principles and responsibilities governing their professional and ethical conduct.

Whistleblower Policy

As part of our efforts to ensure the integrity of Silvercorp and our financial and operational information, we encourage employees who have concerns and may suspect violations of our disclosure standards and Code of Business Conduct and Ethics or our financial reporting to raise them with the appropriate people.

 

The purpose of this Whistleblower Policy is to provide Silvercorp employees, consultants, and external stakeholders with a mechanism by which they can raise these concerns through their supervisors or in a confidential anonymous process.

 

At Silvercorp we promote an open door policy where members of our organization should feel comfortable discussing matters with individuals at all levels.
